At eBay, we are presenting a remarkable opportunity to become part of our team as a Stock & Equity Programs Compliance Manager in San Jose, CA. This role within our Legal department is particularly exciting, concentrating on the efficient oversight of our company’s equity plans and executive trading activities.
Responsibilities:
- Securities and Compliance: Coordinate with Legal on the Insider Trading Policy, manage trading windows, special trade restrictions, and 10b5-1 trading plans. Ensure timely and accurate Section 16/SEC filings, including equity-related inputs for 10-Qs, 10-Ks, and proxy statements.
- Operational Support: Provide cross-functional support for corporate actions like M&A, divestitures, or spin-offs.
- Audit and Technology: Ensure SOX compliance in partnership with auditors and drive operational efficiency by implementing technology and AI solutions for process automation.
- Corporate Governance: Collaborate with Legal & Finance regarding board payments and stock ownership levels.
- Project Management: Act as the lead coordinator for new and ongoing stock-related events for the Stock & Equity team.
Job Requirements:
- Comprehensive experience in the administration of equity awards across multiple jurisdictions in a global, public company.
- Proven expertise in regulatory reporting, and global compliance requirements.
- Strong analytical approach with experience in using AI tools and process automation.
- Experience in project management
- Highly organized, collaborative and passionate, with a drive for results.
- Creative problem-solving and critical thinking skills.
- Ability to lead, empower, and mentor team members.
- Certified Equity Professional (CEP) a plus.
- Certified Associate in Project Management (CAPM) a plus.
Additional Details
The base pay range for this position is expected in the range below:
$103,600 - $177,800Base pay offered may vary depending on multiple individualized factors, including location, skills, and experience. The total compensation package for this position may also include other elements, including a target bonus and restricted stock units (as applicable) in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO and parental leave). Details of participation in these benefit plans will be provided if an employee receives an offer of employment.
If hired, employees will be in an “at-will position” and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
