GENERAL FUNCTION:

This role provides professional support to the Legal function, with a focus on governance and Board operations. The Legal Professional applies a strong understanding of legal practices, policies, and governance standards to manage and execute core processes.

This role is responsible for resolving day-to-day issues requiring interpretation of policies, guidelines, and procedures. The individual operates independently with minimal guidance and owns one or more processes, workstreams, or deliverables. The primary focus is on consistent execution, coordination across stakeholders, and maintaining the integrity of governance activities.

ESSENTIAL DUTIES AND RESPONSIBILITIES

• Supports the Office of the Corporate Secretary in the planning and execution of Board meetings and related activities.

• Provides logistical management for Board and Committee meetings.

• Coordinates administration of Board governance programs, tools, and systems.

• Maintains Board-related records, including minutes, attendance records, meeting materials.

• Maintains and updates files.

• Manages contract administration for the Office of the Corporate Secretary.

• Drafts correspondence.

• Works independently with minimal guidance.

• Resolves day-to-day problems or transactions where expertise is required to interpret against policies, guidelines or processes.
• Collects, reviews, and stores information for discovery in response to legal matters, including litigation, investigation, and regulatory inquiry.
• Coordinates with and supports internal and external counsel to ensure firm guidelines and protocols are met in collection and reporting activities.
• Delivers day-to-day work outputs and required deliverables.
• Develops solutions based upon subject matter expertise.

MINIMUM KNOWLEDGE, SKILLS AND ABILITIES REQUIRED

  • Minimum of 4-7 years experience in Legal.
  • Advanced computer skills preferred.
  • Ability to coordinate multiple large projects and requests of a complex nature required.
  • Excellent verbal, written, interpersonal communication skills and ability to interact well with all organizational levels.
  • Ability to work in matrix environment and collaborate with all stakeholders.
  • Demonstrated conflict resolution, influence and negotiations skills.
  • Maintains a professional presence in highly escalated or adverse situations.
  • Maintains a high level of confidentiality.

The base salary for this position is reflective of the range of salary levels for all roles within this pay grade across the U.S. Individual salaries within this range will vary based on factors such as role, relevant skillset, relevant experience, education and geographic location. In addition to the base salary, this role is eligible to participate in an incentive compensation plan, with any such payment based upon company, line of business and/or individual performance.
